These Terms govern your access to and use of Ledger. By creating an account or using the service, you agree to these Terms.
Ledger is a cloud-hosted bookkeeping and tax-filing tool for Singapore small and medium businesses. It accepts receipt and invoice images, extracts financial data with AI assistance, and helps you prepare GST and corporate tax filings. Ledger is not an accountant or a substitute for professional tax advice. You are responsible for the accuracy of any filing made with or based on Ledger's output.
You retain full ownership of the data you upload and the structured output Ledger generates from it. You can export everything at any time. We will not use your tenant data to train AI models. See our Privacy Policy for processor details, including Google Gemini for OCR.
Singapore law (Companies Act, Income Tax Act, GST Act) requires accounting records to be retained for at least 5 years. When you close your account, we retain your bookkeeping records (transactions, receipts, filings) for 5 years from the end of the relevant financial year before deletion, even if you request earlier removal.
Once a quarter or financial year is filed and you mark the period as closed in Ledger, transactions in that period become read-only. This protects audit integrity. Reopening a closed period is restricted to tenant owners and is logged in the audit trail.
To the extent permitted by Singapore law, Code&Canvas Pte Ltd's aggregate liability arising from your use of Ledger is limited to the fees you have paid in the 12 months preceding the event. We are not liable for indirect or consequential losses, including missed filings, late penalties, or business decisions made on AI-generated data.
We may update these Terms. Material changes will be announced by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of Singapore. Any dispute is subject to the exclusive jurisdiction of the Singapore courts.
